Policies on Human Rights Protection & Anti-Violence and -Conflict of China Shenhua Energy Company Limited

1. Overview

1.1 Objectives

The policies herein clearly stipulate the commitments and responsibilities of China Shenhua Energy Company Limited (hereinafter referred to as "China Shenhua" or "the Company") in terms of the human rights protection & anti-violence and -conflict (hereinafter referred to as "human rights & anti-violence and -conflict") for employees, contractors, suppliers and other business partners thereof. China Shenhua shall respect and abide by the local norms and laws related to human rights & anti-violence and -conflict of the operation sites when carrying out any business activities and operations, and promises to apply the same criteria for the contractors, suppliers and business partners thereof.

    1.2 Relevant Laws and Conventions

On the issue of human rights & anti-violence and -conflict, China Shenhua shall respect various conventions as well as relevant requirements under the United Nations, the International Labor Organization and International Standard of SA8000 to the greatest extent possible on the premise of abiding by the law of the site of operation.

    1.3 Reference Chinese laws

Constitution of the People's Republic of China, Criminal Law of the People's Republic of China, Labor Law of the People's Republic of China and Labor Contract Law of the People's Republic of China

    1.4 Scope of Application

The policies herein shall apply to all employees, contractors and suppliers of China Shenhua, including all subsidiaries and branches thereof at home and abroad.

    2. Commitments

● China Shenhua shall respect and protect the legitimate rights and interests of employees, advocate and pursue equal, non-discriminatory and diversified employment policies, and treat employees of different nationalities, races, genders, religious beliefs and cultural backgrounds fairly and impartially.

● China Shenhua shall not employ any child laborer and firmly oppose any act of employing child laborer. When recruiting new employees, the Company shall take effective measures to identify the age and other identity information of the applicants, so as to prevent flawed recruitment caused by the false age information provided by the applicants; once found, any child laborer shall be stopped working immediately and be reported according to relevant laws and regulations. Meanwhile, the Company shall take disciplinary actions against contractors or suppliers that use any child laborer, take measures such as terminating the agreement to protect the interests thereof, and report to the police in accordance with the laws of the site of operation.

● China Shenhua attaches great importance to personal freedom; shall not perform forced or involuntary labor on employees in any way during business operation, business support or product manufacturing and distribution. The employees of China Shenhua have the right to start and terminate the employment relationship according to their personal choice, and the Company promises to eliminate all conducts that restrict employees' freedom of action. Meanwhile, the Company shall take disciplinary actions against contractors or suppliers with the above conducts, take measures such as terminating the agreement to protect the interests thereof, and report to the police in accordance with the laws of the place of operation.

● China Shenhua promises to safeguard dignity and respect to all employees thereof, prohibit any form of violent punishment (mental or physical threats, punishment, retaliation and verbal insults) or any rough and inhuman treatment against employees.

●China Shenhua is committed to building safe working environment for all employees thereof and reducing violence in the workplace as well as business conducts.

The acts of violence include but not limited to the following:

a Causing physical injury to others;

b Making threatening remarks to others;

c Damaging the property of the Company or other employees;

d Showing aggressive or hostile behaviors, causing others to fear, or suffer mental pain;

e Sexually harassing others (against the will of the other party, with sexual implication) by verbal or physical behavior;

Meanwhile, China Shenhua shall actively prevent potential violence in the workplace and business conducts, and establish whole-process response procedure:

a In case of any violent incident, the parties involved and witnesses are encouraged to report to the team director, manager or the HR Department (in real name or anonymously).

b The HR Department shall set up a special investigation team and a mediation team to properly deal with the issues, including those reported anonymously, so as to effectively protect the interests of the informants.

c The investigation team shall communicate and discuss the results of the investigation with the parties involved.

d The HR Department shall take necessary measures to deal with the act of violence confirmed to be in violation of the employee's code of conduct, including but not limited to guidance, training, oral warning, written warning, negative impact on performance rating, negative impact on salary, demotion, suspension, job change or termination of employment.

e The HR Department shall publicly disclose the investigation results and the handling measures taken against the parties involved in the form of a notice, and keep tracking the parties involved after the incident is resolved.

● China Shenhua adopts zero tolerance for human trafficking by employees, contractors and suppliers thereof in business operation, support or product manufacturing and distribution. No employee, contractor or supplier thereof shall directly or indirectly participate in any form of trading for people or forced transportation of people by using violent means (threat, force, deception, etc.) for the purpose of exploitation. The Company shall take disciplinary actions against any individuals or business entities with the above conducts, protect the interests thereof by means of dismissal or termination of contracts, and report to the police in accordance with the laws of the place of operation.

    3. Remarks

China Shenhua shall review the policies herein properly based on the implementation thereof and make corresponding amendment according to the local laws, relevant international conventions and real situations of the country where the operation is carried out to ensure effective implementation and enforcement. The Safety, Health, Environment and ESG Committee of China Shenhua reserves the right of final interpretation for the policies herein.
